Ovruxtali — Official Trading Platform Terms of Service

1. Use of the Website and Services

1.1 Subject to the terms outlined below, you receive a non-exclusive right to access and use the Website for the purpose of engaging with the Services. You acknowledge that Ovruxtali reserves the right—at its sole discretion and without prior notice—to modify, update, suspend, or discontinue any part of the Website or Services, including removing or altering any content made available through them.

1.2 The Website and Services may not be used where prohibited by law. By accessing or using them, you confirm and warrant that:

• any information you provide is truthful and accurate;

• you will keep that information current and correct;

• you meet the legal age requirements in your jurisdiction;

• your use of the Website and Services does not—and will not—violate any applicable law, regulation, legal agreement, or contractual obligation binding on you, and that you have complied and will continue to comply with all applicable laws, rules, and regulations in connection with your use, including those relating to Products or Third Parties as defined herein.

1.3 By using the Website or Services, you acknowledge and agree that Ovruxtali may—but is not obligated to—monitor or verify a User's compliance with any stated representations or obligations. You further agree that Ovruxtali bears no liability for enforcing such representations and obligations, nor for any failure to restrict, suspend, or prevent use of the Website or Services by users who may be in breach. You accept sole responsibility for deciding whether to interact with any Third Parties. If you become aware of a violation of these representations, you're encouraged to report it to Ovruxtali directly.

1.4 Ovruxtali reserves the right—with or without notice—to deny access to any part of the Services at its sole discretion, whether based on a reported breach of User obligations or for any other reason. Ovruxtali expressly disclaims, and you expressly release Ovruxtali from, any and all liability relating to disputes, claims, damages, injuries, or losses arising from or connected in any way with: (i) inaccurate, incomplete, or delayed statements by any User or Third Party; and (ii) false or misleading representations associated with other Users, Third Parties, Products, or otherwise. By accessing the Website and Services, you acknowledge that the official platform is designed to help Users in the United States and beyond discover, obtain, and/or use various goods and services offered by third-party providers through advertisements or marketing campaigns carried out by Ovruxtali (referred to herein as "Products" and "Third Parties"). This platform is built to be a reliable access point for connecting users with relevant offerings.

1.5 You understand and agree that Ovruxtali: 

1. does not employ, recommend, or endorse any specific Third Parties or Products, nor any associated entities, and does not control the conduct or offerings of such Third Parties; 

2. makes no warranties or representations regarding Third Parties or Products—including their quality, pricing, suitability, availability, or any other attributes—or with respect to your dealings with such parties; 

3. offers no assurances concerning ownership rights, legal permissions, or regulatory compliance connected to the Products, including but not limited to licensing, resale, sharing, or any other use of such Products;  

4. disclaims all responsibility for the behavior or performance of any Users or Third Parties interacting through the Website or Services. Ovruxtali does not conduct identity verification or validate information related to Third Parties, Users, or any offerings associated with the Website or Services. Your funds and data are protected to the extent that Ovruxtali maintains platform integrity, but conducting proper due diligence before engaging with any party through the platform is solely your responsibility. User feedback and independent reviews are encouraged as part of informed decision-making.

1.6 Ovruxtali explicitly disclaims—and you expressly release Ovruxtali from—any responsibility or liability arising from your interaction with or reliance on Third Parties, Products, the Services, or the Website. This includes, but is not limited to, any acts or omissions by third parties in relation to the platform. By using the Website and Services, you acknowledge that you're solely accountable for all interactions, purchases, connections, or transactions made, and that your use is entirely at your own risk. For the avoidance of doubt, Ovruxtali does not sell, license, or otherwise provide any Products or services to you—except for the Services themselves—and bears no responsibility for any third-party offerings you purchase, including support, maintenance, errors, defects, or any related costs or damages of any kind.

2. Restrictions

2.1 The following actions are strictly prohibited. You may not carry them out directly — nor permit any third party to act on your behalf in doing so:

• reverse engineer, decompile, disassemble, or otherwise attempt to extract source code from the Website or Services;

• use the Website or Services in breach of any applicable law or official regulatory standard — including transmitting, distributing, posting, or sharing material that is unlawful, harmful, or offensive in any form;

• reproduce, modify, adapt, or create derivative works from the Website, the Services, or any portion of their content;

• disable, bypass, or interfere with any access controls tied to the Website or Services;

• build, deploy, or assist in developing cheats, bots, exploits, automation tools, hacks, mods, or any unauthorized software designed to alter or disrupt the Website or Services;

• use the Website or Services — or interact with other Users — in any way that conflicts with applicable laws or regulatory requirements;

• attempt unauthorized access to the Website, the Services, other User accounts (as defined below), or any connected systems, networks, or devices;

• collect, harvest, or gather personal or identifying data about Users without their explicit consent.

2.2 Any content you submit, share, publish, or transmit through the Website and/or Services must be accurate and truthful in describing the products or services it references. It must fully comply with these Terms. In particular, such content:

• must not infringe upon any third-party intellectual property rights, moral rights, or rights of publicity or privacy;

• must not contain defamatory, obscene, sexually explicit, offensive, or otherwise inappropriate material — including content that promotes or glorifies hate, violence, or discrimination;

• must not carry viruses, worms, trojans, or any other form of malicious code;

• must not violate applicable laws or regulatory standards, including those governing advertising or commercial communications;

• must not place an unreasonable or disproportionately large load on our infrastructure.

2.3 When you post, upload, distribute, or otherwise transmit content through the Website or Services, you grant Ovruxtali and its affiliates and/or sublicensees a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to reproduce, publish, distribute, display, and otherwise use that content in any manner the Company reasonably determines. Ovruxtali reserves the right to remove, suspend, or permanently delete any content at its sole discretion and without prior notice — including content that breaches the representations above or causes harm to the Company's interests. You hold no claim or entitlement in connection with such actions.

2.4 Ovruxtali bears no liability for any content posted, uploaded, shared, distributed, or otherwise made available by Users — nor for any products or services referenced in or associated with such content. This applies to all Users operating in the United States, where each individual accepts full and exclusive responsibility for any content they contribute or transmit through the Website or Services. We consider feedback from our user base when reviewing these policies, and we remain committed to providing a reliable, consistent experience across all regions. Ovruxtali expressly disclaims all liability in this regard.

3. Promotional Communications and Newsletters

By accepting these Terms, the User gives explicit consent to receive promotional communications and newsletters ("Promotional Materials and Newsletters") from Ovruxtali through any available communication channel. This includes — but is not limited to — email, SMS or text messages, fax, postal mail, automated dialing systems, or any other contact method Ovruxtali reasonably chooses to use.

The User further acknowledges that Promotional Materials and Newsletters may include third-party advertisements, and expressly consents to receiving such content as part of those communications. At any time, the User may opt out of future Promotional Materials and Newsletters by contacting Ovruxtali via the official platform email with a clear unsubscribe request.

4. Intellectual Property

The Company holds full ownership, all rights, and worldwide interests in and to:

• the Website and Services — including all updates, improvements, derivatives, bug fixes, and enhancements made to them; 

• all official Company names, trademarks, logos, and brand assets, which remain the sole property of the Company at all times.

Any reference in these Terms — or in any other context — to the sale, resale, or acquisition of the above applies strictly to the right to access and use the Website and Services as described herein.

Users bear sole responsibility for any content they submit, transmit, or otherwise deliver through the Website or Services — along with all associated intellectual property rights. The Company makes no warranties regarding the legality, accuracy, or integrity of user-submitted content and accepts no liability for damages arising from it. By using the platform, Users agree to indemnify and hold the Company harmless against any claims, losses, or liabilities stemming from their submitted content or any related rights violations.

5. Privacy

5.1 You agree not to store, collect, retain, or otherwise use any content made available through the Services or the Website without Ovruxtali's prior written consent. You also acknowledge that Ovruxtali reserves the right — at its sole discretion — to store, collect, retain, or use any content or publicly available data, including personally identifiable information about you, other Users, or third parties, as well as information reflecting your personal preferences or interests.

5.2 Ovruxtali may use such content and public information in line with applicable laws and as described in the Ovruxtali Privacy Policy. Ovruxtali does not review, monitor, validate, endorse, or screen any such content or publicly available data. Every User who posts, uploads, shares, or otherwise provides content or public data takes full responsibility for that information — including any third-party data and any required authorizations or permissions.

5.3 Ovruxtali accepts no liability for any loss or damage resulting from a breach of the provisions above. You agree to indemnify and hold Ovruxtali harmless from any claims, damages, or liabilities arising from your failure to comply. You also acknowledge that Ovruxtali does not operate as a content storage service.

5.4 Ovruxtali takes no responsibility for lost or deleted content or public data. This applies to all Users accessing the platform from the United States and beyond. Any information you post, upload, transmit, or otherwise make available may be accessed, collected, and used by others — and may result in receiving unsolicited communications.

6. External Links

The Website or Services may contain links to third-party websites, advertisers, publishers, or external products and services. Ovruxtali exercises no control over such sites and makes no representations regarding the information provided or transmitted through them or by any such third parties.

YOU UNDERSTAND AND AGREE THAT ACCESSING OR USING SUCH LINKS OR THIRD-PARTY CONTENT IS ENTIRELY AT YOUR OWN RISK. SUCH LINKS AND CONTENT ARE GOVERNED BY THE TERMS OF USE AND PRIVACY POLICIES OF THEIR RESPECTIVE THIRD PARTIES. YOU ARE STRONGLY ENCOURAGED TO REVIEW THE APPLICABLE POLICIES AND TERMS OF ANY SUCH THIRD PARTY BEFORE ENGAGING WITH THEIR CONTENT.

Ovruxtali DISCLAIMS ALL RESPONSIBILITY FOR THIRD PARTIES AND ANY LOSS OR DAMAGE THAT MAY ARISE FROM SUCH INTERACTIONS. YOU EXPRESSLY RELEASE Ovruxtali FROM ANY LIABILITY RELATING TO DISPUTES, CLAIMS, ACTIONS, INJURIES, LOSSES, OR DAMAGES OF ANY KIND THAT ARISE FROM OR CONNECT IN ANY WAY TO THIRD-PARTY WEBSITES — INCLUDING BUT NOT LIMITED TO MATTERS CONCERNING ACCESS, TERMS OF USE, PRIVACY, INFORMATION, MATERIALS, ADVERTISING, PAYMENTS, PRODUCTS, OR SERVICES.

7. Prohibited Use

7.1 The Website and Services may not be used for commercial purposes — except where Ovruxtali has expressly authorized communication with Third Parties — without obtaining prior written consent from Ovruxtali.

7.2 No individual or organization may use the Website or Services to recruit via another website, solicit business, promote offerings, or contact Users in any form for employment, contracts, or business purposes unrelated to Ovruxtali — unless explicitly approved in writing beforehand.

7.3 You agree not to use the Services or Website to contact other Users for the purpose of promoting, advertising, or selling goods and services without their explicit consent, except where these Terms expressly permit otherwise.

9. Disclaimer of Warranties and Liability

User feedback on the platform's feature set does not constitute warranties of any kind.

You accept full responsibility for evaluating your own decisions and their consequences. The Company bears no liability for any arrangements or agreements you independently choose to enter into.

9.4 The Company is not liable for any trading decisions or interactions you initiate. No communication — oral or written — from Ovruxtali, its representatives, employees, or affiliates creates any warranty beyond what is explicitly set out in these Terms. Note that in certain jurisdictions, restrictions on implied warranty disclaimers may apply. Where that is the case, some of the above limitations may not be enforceable against you.

10. Limitation of Liability

10.1 Ovruxtali makes no warranties — express or implied — regarding the value, quality, compatibility, or any other characteristic of third-party products, features, or information made available through the platform (collectively, "Features"). Responsibility for such Features rests with the relevant third party or User, depending on context. While Ovruxtali is not obligated to actively monitor all activity on the platform, the Company reserves the right to act at its sole discretion upon identifying any violations of these Terms. You acknowledge that you may encounter content or information that is inaccurate, unsuitable, or otherwise objectionable.

10.2 Ovruxtali is not liable for technical failures involving telephone networks or lines, computer systems, servers, service providers, hardware, or software — nor for email delivery failures caused by technical issues or internet congestion, whether occurring on the Website, within the Services, or both. This also covers any damage to a User's computer, mobile device, or other equipment arising from use of the Website or Services, or from downloading any associated content. Under no circumstances does Ovruxtali bear responsibility for the conduct of third parties — including other Users, whether online or offline — or operators of external websites. Users in the United States are subject to the same liability terms as all other users of the platform.

10.3 To the fullest extent permitted by applicable law — including the laws and financial services standards governing platform operations — Ovruxtali and its officers, directors, employees, and agents shall not be liable to you for any indirect, incidental, special, punitive, or consequential damages arising from or connected to your access to or use of the Website or Services. This applies regardless of whether such damages were foreseeable or whether Ovruxtali had prior notice of their possibility.

11. Indemnification

You agree to defend, indemnify, and hold Ovruxtali — along with its officers, directors, employees, and agents — harmless from any and all claims, legal proceedings, demands, losses, liabilities, expenses, or costs (including reasonable attorneys' fees and court costs) that arise out of or relate to your breach of these Terms, or your use of the Website or Services in a manner that violates applicable law in any jurisdiction. This obligation applies regardless of whether such a claim is brought by a third party or results directly from your own actions or omissions.

12. Miscellaneous

12.1 Your activity may also fall under applicable local, regional, or national laws in the United States. Any dispute arising from or connected to these Terms, the Website, or the Services must be brought exclusively before the competent courts in your place of residence. By accessing the Website or using the Services, you confirm that you waive any right to participate in class action proceedings against the Company.

12.2 Any claim or cause of action against the Company must be filed within one (1) year from the date the claim first arises. If any provision of these Terms is found to be unenforceable, it will be replaced with a valid provision that best reflects the original intent — all remaining provisions continue in full force. Nothing in these Terms creates an agency, employment, joint venture, or partnership between you and the Company, nor does it authorize you to act on the Company's behalf. Unless expressly stated otherwise, these Terms constitute the entire agreement between you and the Company with respect to the subject matter addressed here.

12.3 The Company may deliver any legally required notices using the contact details provided during Account registration, or through any other direct or indirect channel, including email. You expressly consent to receiving notifications through these means.

12.4 You may not assign or transfer any rights or obligations under these Terms without prior written consent from the Company. Nothing in these Terms limits the Company's legal remedies or its right to act against prohibited conduct. Failure to enforce any provision does not constitute a waiver — the Company retains full discretion to enforce any provision at any time. A waiver of one breach does not constitute a waiver of any past or future breach.
